Business Terms of Service

These Business Terms of Service ("Terms") govern access to and use of the K53 Sharp Dashboard (the "Dashboard" or "Service") by driving schools and independent instructors ("you," "your school," or "Subscriber"). The Dashboard is provided by Crafted Bits ("we," "our," or "us").

These Terms apply to the Dashboard and related business services only. They are separate from the Terms of Service that govern the free K53 Sharp learner app used by students. By registering for, accessing, or using the Dashboard, you agree to be bound by these Terms. If you are accepting on behalf of an organisation, you confirm you are authorised to bind that organisation.

1. Definitions

  • Dashboard - the K53 Sharp Dashboard web application at dashboard.k53sharp.co.za and related services.
  • Learner App - the free K53 Sharp mobile application used by students.
  • Student - a learner who books or takes lessons with your school.
  • Subscription - a paid plan that grants your school access to the Dashboard.
  • Payment Provider - the third-party payment processor we use to handle subscription payments, lesson payments, and payouts.

2. Eligibility & Account Registration

2.1 Eligibility

To use the Dashboard, you must be a driving school or instructor operating lawfully in South Africa, with all licences, registrations, and authorisations required to provide driving instruction.

2.2 Account Information

You agree to provide accurate, current, and complete information when registering and to keep it up to date. You are responsible for all activity that occurs under your account and admin users.

2.3 Account Security

You are responsible for keeping your login credentials confidential, for the actions of every admin user you add, and for notifying us promptly of any unauthorised use of your account.

3. The Service

3.1 License to Use

Subject to these Terms and payment of the applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Dashboard to manage your school's bookings, students, instructors, and related operations for the duration of your Subscription.

3.2 Changes to the Service

We may add, change, or remove features of the Dashboard over time. Where a change materially reduces core functionality of a plan you pay for, we will give you reasonable notice.

4. Subscriptions, Billing & Renewal

  • The Dashboard is offered on paid Starter, Standard, and Premium plans, billed monthly or annually in advance.
  • Subscriptions renew automatically at the end of each billing cycle until cancelled.
  • We process subscription payments through our Payment Provider. The provider's processing fees are charged to us and are not part of your subscription fee.
  • You can upgrade or downgrade your plan from your Dashboard, and we prorate billing as described in our refund policy.

Cancellations and refunds are governed by our Refund & Cancellation Policy, which forms part of these Terms.

5. In-App Listing

Schools on eligible plans may be listed inside the Learner App, where students can browse and contact driving schools near them. By enabling a listing, you:

  • Confirm that the information in your listing is accurate and that you are authorised to publish it;
  • Grant us a licence to display your school name, branding, and listing details in the Learner App and related materials; and
  • Acknowledge that we may moderate, reorder, or remove listings that are inaccurate, misleading, or in breach of these Terms.

6. Lesson Payments & Payouts

Where students pay for lessons or packages through the platform, payments are processed by our Payment Provider and settled directly to your registered South African bank account. You acknowledge that:

  • Crafted Bits does not take a commission on lesson payments and does not hold these funds;
  • You are solely responsible for delivering the lessons and services your students pay for;
  • Any refund or dispute over a lesson payment is between you and your student, processed through the Payment Provider and subject to its terms; and
  • You are responsible for your own tax, invoicing, and regulatory obligations arising from these payments.

7. Your Responsibilities

You agree that you will:

  • Operate your driving school lawfully and maintain all required licences and authorisations;
  • Keep the student, instructor, booking, and business information you enter accurate and up to date;
  • Have a lawful basis and any necessary consent to upload and process the personal information of your students and instructors through the Dashboard; and
  • Honour your own arrangements with your students, including scheduling, pricing, and refunds.

8. Acceptable Use

You agree not to:

  • Use the Dashboard for any unlawful, fraudulent, or misleading purpose;
  • Upload information you are not entitled to share, or that infringes the rights of others;
  • Attempt to gain unauthorised access to the Dashboard, other accounts, or our systems;
  • Interfere with, disrupt, or place undue load on the Service;
  • Reverse engineer, copy, resell, or sublicense the Dashboard; or
  • Use automated systems to extract data from the Dashboard without our written permission.

9. Data Protection

Our handling of personal information in connection with the Dashboard is described in our Business Privacy Policy.

For the personal information of your students and instructors that you upload to the Dashboard, you are the responsible party under the Protection of Personal Information Act 4 of 2013 (POPIA), and we act as your operator, processing that information on your behalf and on your instructions. You warrant that you have the lawful basis and any required consent to provide that information to us for processing through the Dashboard.

10. Intellectual Property

The Dashboard, including all software, content, and branding (excluding your own data and branding), is owned by Crafted Bits and protected by South African and international intellectual property laws. These Terms do not transfer any ownership in the Dashboard to you. You retain ownership of the data and materials you upload.

11. Confidentiality

Each party may be given access to non-public information belonging to the other. Each party agrees to keep the other's confidential information secure and to use it only as needed to provide or use the Service, except where disclosure is required by law.

12. Disclaimer of Warranties

THE DASHBOARD IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Dashboard will be uninterrupted, error-free, or available at all times, or that it will meet every requirement of your business.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CRAFTED BITS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE DASHBOARD.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE DASHBOARD SHALL NOT EXCEED THE TOTAL SUBSCRIPTION FEES YOU PAID TO US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Nothing in these Terms limits liability that cannot be limited or excluded under applicable South African law.

14. Indemnification

You agree to indemnify and hold harmless Crafted Bits and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of the Dashboard, your breach of these Terms, your relationship with your students, or your handling of personal information you upload.

15. Suspension & Termination

15.1 By You

You may cancel your Subscription at any time as set out in our Refund & Cancellation Policy.

15.2 By Us

We may suspend or terminate your access if you breach these Terms, fail to pay fees due, or use the Dashboard in a way that is unlawful or harmful to us, your students, or other users.

15.3 Effect of Termination

On termination, your access to the Dashboard and any in-app listing ends. We will, where reasonably practicable and lawful, give you an opportunity to export your data before it is deleted in line with our retention practices. Provisions that by their nature should survive termination will survive.

16. Changes to These Terms

We may update these Terms from time to time. We will notify you of significant changes by updating the "Last Updated" date and, where appropriate, by notice in the Dashboard. Continued use of the Dashboard after changes take effect constitutes acceptance of the updated Terms.

17. Governing Law

These Terms are governed by the laws of the Republic of South Africa, and any disputes are subject to the exclusive jurisdiction of the courts of South Africa.
